1. Who we are

PassItOn-Digital (“we”, “us”, “our”) provides a secure online portal to help you organise, store, and share important digital and personal information with your trusted people.

2. Definitions

• Service: The PassItOn-Digital portal, website, and related features.
• Account: Your registered user account to access the Service.
• Content: Files, documents, information, and data you upload or input.
• Trusted Contacts: People you authorise to access parts of your Content.
• Subscription: Your paid plan granting ongoing access to the Service.

3. Using the Service

• You must be at least 18 and able to enter a binding contract.
• You may use the Service only for lawful purposes and in accordance with these Terms.
• We grant you a non-exclusive, non-transferable licence to use the Service for your personal or business records management.

4. Accounts & Security

• You are responsible for the accuracy of your Account information and for keeping your login credentials secure.
• Use a strong, unique password and enable two-factor authentication where available.
• We do not view your uploaded files. Your Content remains private to you and anyone you explicitly authorise.
• If you suspect unauthorised access, notify us promptly at support@passitondigital.com.

5. Plans, Payments & Renewals

• Plan details and pricing are shown at checkout and/or on our pricing page.
• Subscriptions are billed in advance and renew automatically unless cancelled.
• Payments are processed by our payment providers; we don’t store full card details.
• Taxes may apply based on your billing country.
• We may offer promotions or trials with specific terms which will be explained at sign-up.

6. Cancellations & Refunds

• You can cancel renewal at any time via your Account or by contacting Support. Your access continues until the end of the current paid period.
• Unless stated otherwise, fees are non-refundable once a billing period has started.
• We may provide refunds where required by law or as explicitly promised in a promotion.

7. Acceptable Use

• Do not upload unlawful content, malware, or anything infringing others’ rights.
• No attempts to probe, scan, or test the vulnerability of the Service or to breach security.
• No sharing of your login outside your household or team if your plan does not permit it.
• We reserve the right to investigate and take action (including suspension) for violations.

8. Your Content & Ownership

• You retain all rights to your Content.
• You grant us a limited, revocable licence to store and transmit your Content solely to provide the Service.
• We do not access, use, or disclose your Content except to operate the Service or comply with law.

9. Our IP

We (or our licensors) own the Service and all related intellectual property. You may not copy, modify, reverse engineer, or create derivative works except as allowed by law or these Terms.

10. Privacy & Data Protection

Your use of the Service is subject to our Privacy Policy. We follow applicable data-protection laws (e.g., UK GDPR/EU GDPR). For clarity, your uploaded files are encrypted and not viewed by our staff.

11. Availability & Maintenance

• We aim to provide reliable access, but the Service may be unavailable during maintenance, updates, or due to events beyond our control.
• We may modify or discontinue features to improve security or performance.

13. Disclaimers

• The Service is provided “as is” and “as available”. We do not guarantee that it will be uninterrupted, error-free, or meet your requirements.
• We do not provide legal, financial, or tax advice. Any templates or guides are for information only.

14. Limitation of Liability

• To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim arising out of or relating to the Service shall not exceed the total fees you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
• Nothing in these Terms limits liability that cannot legally be limited (e.g., fraud, death or personal injury caused by negligence).

15. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your misuse of the Service or violation of these Terms, to the extent permitted by law.

16. Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, internet outages, strikes, war, governmental actions).

17. Changes to the Service or Terms

• We may update these Terms from time to time. We’ll post the new version here and update the effective date. If changes are material, we may also notify you by email or via your portal.
• Continued use after changes means you accept the updated Terms.

18. Suspension & Termination

• You may stop using the Service at any time and cancel renewal via your Account.
• We may suspend or terminate access for violations of these Terms or to comply with law. Where reasonable, we’ll provide notice.
• Upon termination, your access ends; please export your Content beforehand. We’ll delete data per our retention policy and legal obligations.

19. Governing Law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales shall have exclusive jurisdiction. If you prefer Spain as your jurisdiction, replace this clause accordingly.
